UniBid Terms of Service - Property Listers

1. Acknowledgment & Acceptance of Terms

This Property Lister Agreement ("Agreement") is entered into between UniBid, an online student rental marketplace ("Company"), and the individual or entity listing properties for rent ("User" or "Property Lister"). By listing a property on UniBid, you acknowledge that you have read, understood, and agreed to comply with these Terms of Service (TOS) and all applicable local, state, and federal rental laws.

Non-Brokerage Disclaimer

UniBid is not a real estate broker, agent, or property management company. The platform operates as a subscription-based listing service connecting students and property listers. UniBid does not own, lease, manage, or negotiate properties and does not collect brokerage fees or commissions. All rental agreements are made directly between the property lister and the tenant.

UniBid is not affiliated with, endorsed by, or officially connected to any college, university, or educational institution. Listings on UniBid are independent transactions and are not governed by any school policies.

2. Description of Service

UniBid provides an online platform that allows landlords, property managers, and realtors to:

  • List off-campus rental properties for students and guests.
  • Accept, reject, or negotiate rental bids, fixed-price offers, or “Rent Now” requests.
  • Communicate with prospective tenants through the platform.
  • Facilitate roommate matching and connections for shared rental opportunities.

UniBid’s Role & Responsibilities

  • UniBid does not verify, inspect, or guarantee any property’s condition, safety, legal compliance, or suitability.
  • Property listers bear full responsibility for their listings, rental agreements, and compliance with applicable laws.
  • UniBid does not screen or background-check tenants. It is the sole responsibility of property listers to conduct their own tenant verification and due diligence.

3. Listing, Offers & Rental Process

  • Accurate Listings: Property descriptions, rental prices, amenities, and lease terms must be accurate, legal, and updated regularly.
  • Offers & Bids Are Non-Binding: Offers submitted through bidding, fixed-price listings, “Rent Now” options, or external negotiations are not legally binding and do not create a lease agreement or guarantee tenancy.
  • Final Lease Agreement Required: A separate, legally binding lease must be signed between the property lister and the tenant before tenancy begins. UniBid is not a party to any lease agreement and does not enforce lease terms.
  • Property Lister Discretion: Property listers retain full control over their rental process and may accept, reject, counter, or modify offers at their sole discretion.
  • Independent Rental Transactions: Lease negotiations, terms, deposits, and responsibilities must be agreed upon independently between landlords and tenants.
  • No Guarantee of Tenants: UniBid does not guarantee the success of any listing or the quality of prospective tenants.

4. Fees & Payments

  • Subscription-Based Model: UniBid operates on a subscription-based model for both students and landlords. There are no brokerage fees or commissions.
  • Platform Fees: UniBid may charge subscription fees, listing fees, or transaction fees for platform access.
  • Non-Refundable Fees: Unless explicitly stated, all fees are non-refundable, even if:
    • A listing is unsuccessful or removed.
    • The property is not rented.
    • A property lister accepts an offer or bid but later decides not to proceed with the lease.
  • Payment Terms: Property listers must make payments per the agreed schedule. Failure to pay may result in listing removal or account suspension.
  • Fee Adjustments: UniBid reserves the right to adjust fees annually based on market conditions and platform costs.
  • Chargeback Policy: If a property lister initiates a chargeback for platform fees, UniBid may suspend their account until the issue is resolved.

5. Compliance & Legal Obligations

Property listers must comply with all applicable housing laws, including but not limited to:

  • Fair Housing Act (42 U.S.C. § 3601 et seq.)
  • Americans with Disabilities Act (ADA) and Accessibility Regulations
  • Local landlord-tenant laws and rental licensing requirements
  • Lease disclosure obligations and property maintenance laws
  • Zoning Laws & Health Department Regulations: Property listers must ensure compliance with local ordinances governing rental occupancy limits, zoning restrictions, and health department regulations. Failure to comply may result in eviction orders, fines, or other legal penalties. Property listers must inform tenants of any applicable occupancy limits before finalizing lease agreements.

Legal Responsibility

  • UniBid does not provide legal advice regarding rental agreements or landlord-tenant laws.
  • Property listers assume full legal liability for their listings and agree to indemnify UniBid against any legal claims arising from their rental activities.

6. Security Deposits & Refund Policies

  • Handling of Security Deposits: Property listers are responsible for collecting, managing, and refunding security deposits in accordance with local and state laws.
  • Disputes Over Deposits: UniBid does not mediate security deposit disputes. Any disputes must be resolved directly between the landlord and tenant through legal channels.

7. Account Responsibilities & Prohibited Conduct

7.1 Account Security

  • Property listers must secure their login credentials and are responsible for all account activity.
  • Unauthorized access or security breaches must be reported to UniBid immediately.

7.2 Prohibited Conduct

Property listers must not:

  • Post fraudulent, misleading, or deceptive listings.
  • Engage in discriminatory practices (e.g., rejecting applicants based on race, gender, religion, etc.).
  • Harass, spam, or send unauthorized solicitations to users.
  • Use UniBid to circumvent fair housing laws, tenant protections, or rental regulations.
  • Attempt to complete transactions outside of the platform to avoid platform fees.
  • Place false bids or coordinate with others to artificially drive up rental prices or create misleading demand.

Violations may result in immediate account suspension or termination.

8. No University Endorsement

  • UniBid is not affiliated with or endorsed by any college, university, or educational institution.
  • Rental transactions are independent and do not reflect any school housing policies.

9. Disclaimers & Limitation of Liability

By accepting these Terms, Property Listers fully and unconditionally release and waive any and all claims, demands, liabilities, and damages—whether actual or consequential, direct or indirect—against UniBid, its officers, directors, employees, and agents, whether known or unknown, arising from or related to:

  1. User Disputes – Any conflicts with tenants, including but not limited to lease agreements, payments, rental terms, property conditions, or tenant conduct.
  2. Platform Use & Listings – The accuracy, legality, availability, or compliance of any listing, rental price, lease terms, or tenant screenings.
  3. Tenant Conduct & Payments – Any tenant failure to pay rent, adhere to lease terms, vacate the property, or comply with local laws.
  4. Identity Verification – UniBid does not verify tenant identity, background, creditworthiness, or rental history and disclaims liability for any fraudulent, misleading, or incomplete tenant information.

UniBid’s Role & Liability Disclaimer

  • UniBid is a marketplace platform only and does not own, manage, inspect, or verify rental properties.
  • UniBid does not screen, endorse, or guarantee tenants, their ability to pay rent, or their compliance with lease terms.
  • All rental agreements are solely between Property Listers and Tenants. UniBid is not a party to any lease.
  • Property Listers assume all risks related to rental transactions, including but not limited to tenant selection, non-payment of rent, property damages, and legal compliance.
  • UniBid is not liable for any financial loss, property damage, legal disputes, or tenant-related issues.

Force Majeure Clause

UniBid is not responsible for platform disruptions, service failures, or delays caused by circumstances beyond its control, including but not limited to:

  • Natural disasters, pandemics, government regulations, or legal changes affecting rental markets.
  • Internet outages, cyberattacks, or security breaches.
  • Operational failures due to third-party service providers.

Maximum Liability Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UniBid DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE ACCURACY, SAFETY, OR LEGALITY OF PROPERTY LISTINGS, TENANT INFORMATION, AND RENTAL TRANSACTIONS CONDUCTED THROUGH THE PLATFORM.

10. Termination & Account Suspension

UniBid reserves the right to terminate, suspend, or restrict any property lister’s account if:

  • Violations of fair housing laws or platform policies occur.
  • Fraudulent, misleading, or illegal listings are detected.
  • Complaints of misconduct or non-compliance are received.

Property listers may terminate their account at any time, but previously paid listing fees are non-refundable.

11. Dispute Resolution

  • UniBid does not mediate or resolve disputes between property listers and tenants.
  • All lease disputes must be resolved directly through legal channels or local housing authorities.
  • Binding Arbitration: Any disputes related to the UniBid platform (excluding lease agreements) must be resolved through binding arbitration in accordance with the governing law jurisdiction.

12. Indemnification & Legal Compliance

Property listers agree to indemnify, defend, and hold harmless UniBid (including its employees, officers, and affiliates) from any claims, liabilities, damages, losses, or expenses arising from:

  • Violations of these Terms of Service.
  • Legal disputes related to lease agreements or rental transactions.
  • Non-compliance with fair housing laws, tenant rights, or rental obligations.

13. Intellectual Property Rights

  • UniBid owns all platform-related intellectual property (e.g., trademarks, branding, proprietary algorithms).
  • Property listers may not use UniBid branding or intellectual property without prior written consent.
  • UniBid has the right to remove listings that infringe upon third-party intellectual property rights.

14. Governing Law & Jurisdiction

  • This Agreement is governed by the laws of the state where the property is listed.
  • Any legal action must be filed in the jurisdiction where the property is located.

15. Amendments & Updates

  • UniBid may update these Terms of Service at any time.
  • Property listers will be notified of significant changes.
  • Continued use of the platform constitutes acceptance of updated terms.
